استراتيجية اندماج المصارف

Abstract

إن دراسـة استراتيجيات الاندماج تتوجّب الإحاطة بمجموعة العوامل التي ينبغي تحليلهـا وتحديد أثرها عند تقييم جدوى الاندماج منها التأثير في كل من السعر والأرباح بالسهم، والتأثير على الأرباح المستقبلية، وتحليل القيمة الدفترية للسهم، وصافي الموجودات المتداولة... وغيرها. إلا أنه على الرغم من اهتمام الباحثين والمهتمين في مجال الإدارة الإستراتيجية والإدارة المالية في إيجاد وتحديد هذه العوامل والدوافع، إلا أن هذه الاهتمامات جاءت بآراء متباينة ووفقاً لوجهات نظر متعددة.
وعلى هذا الأساس لم يجد الباحث اتفاقاً محدداً فيما يتعلق بتحديد العوامل التي تؤدي بالنتيجة إلى إتباع استراتيجيـات الاندماج ذاتها فضلاً عن محدودية الدراسات المحلية في هذا المجال.
مما يستوجب الاهتمام وبشكلٍ متزايد بضرورة الاهتمام بالعوامل التي تكسب الشركات الجدارة والتفوق على المنافسين لأغراض زيادة العوائد الاستثمارية واستقطاب الزبون، وبالتالي يقودها إلى الحياة والبقاء والنمو بعيداً عن التحديات الداخلية المتمثلة بالمقاومة الداخلية والخارجية المتمثلة بحروب المنافسين.

تبرز أهمية هذه الدراسة كونها أولى المحاولات التي لم يسبقها دراسة مماثلة في هذا المجال، كما تبرز أهمية هذه الدراسة من خلال استعمالها الأدوات الكمية في قياس المتغيرات ذات العلاقة، وهذا يمثل توجهاً حديثاً يعكس الصورة الواقعية لبيئة الشركات ذات الطابع المالي (المصارف) ويقود إلى تلافي العديد من الانتقادات والقصور في جوانب استعمال المؤشرات الوصفية وخاصة في مجال تحديد الواقع البيئي وتغيراته.
وتبـرز أهمية البحث أيضاً نتيجة لاهتمامه بقطاع اقتصادي حيوي ألاّ وهو القطاع المصرفي الخـاص والعمل على وضع أسـس علمية وإستراتيجية للارتقاء به من خلال تحسين أدائه الحالي وصولاً إلى تحقيق مزايـا كزيادة العوائد الاستثمارية والحصول على الحصة السوقية العالية مقارنة بمنافسيه داخل القطاع ذاته.
تهدف هذه الدراسة إلى تحليل عمليات الاندماج وكيفية وضع آلية لتطبيقها في المصارف العراقية من خلال المهام الآتية:
1.تحليل التداؤب لاندماج المصارف عينة البحث والعمل على إظهار قيمتها قبل وبعد الاندماج.
2.تحليل مؤشرات الاندماج للمصارف عينة البحث من خلال إتباع احد الأسلوبين (التملك النقدي والتملك بالأسهم) والعمل على اتخاذ القرار الاستثماري من قبل إدارات هذه المصارف والذي يحقق اقل كلفة.

However, despite the attention of researchers and those interested in the field of strategic management and financial management in finding and identifying these factors and motivations, but these concerns were different views, according to multiple perspectives.On this basis, the researcher did not find a specific agreement with regard to identifying the factors that lead to the result of following the same integration strategies as well as the limited local studies in this area.Which requires attention and increasingly need to take care of factors that companies earn merit and superiority over competitors for the purposes of increasing the return on investment and to attract the customer, and thus led to life, survival and growth away from the challenges of the internal resistance of the internal and external wars competitors.Highlights the importance of this study being the first attempts that were preceded by a similar study in this area, and highlights the importance of this study through the use of quantitative tools to measure the relevant variables, and this represents a newly reflects a realistic image of the corporate environment of a financial nature (banks) and leads to avoid Many of the criticisms and deficiencies in the descriptive aspects of the use of indicators, particularly in identifying the environmental situation and its changes.And highlights the importance of research as well as a result of his interest in industry economic dynamic, namely the private banking sector and work on a scientific basis and the strategy to improve it by improving the performance of the current and thus achieving the advantages such as increased return on investment and get the market share of high compared to its peers within the sector itself.The aim of this study is to analyze mergers and how to develop a mechanism for application in Iraqi banks through the following tasks:1. Analyze the synergies of the merger of banks and sample work to show the value before and after the merger.2. Analysis of indicators of integration of the banks of the research sample by following one of two methods (cash acquisitions and stock ownership) and work on the investment decision by the departments of these banks, which bring less expensive.
